END USER LICENSE AGREEMENT (EULA)
This End User License Agreement (“Agreement”) is a legal contract between you (“End-User,” “you,” or “your”) and C8 Data LLC (“Licensor,” “we,” “us,” or “our”).
By downloading, installing, or using the Licensed Application (the “Software”), you agree to be bound by the terms of this Agreement. If you do not agree, do not download, install, or use the Software.
This Agreement applies to all updates, upgrades, and modifications to the Software, unless a separate license is provided.
1. LICENSE GRANT
1.1 Licensor grants you a non-transferable, non-exclusive, non-sublicensable license to install and use the Software on devices that you own or control, in accordance with this Agreement and any applicable usage rules.
1.2 You may not:
Share, sell, rent, lease, or distribute the Software except as expressly permitted.
Reverse engineer, disassemble, decompile, or attempt to access source code without prior written consent.
Remove or alter any intellectual property notices.
Use the Software in violation of applicable laws, regulations, or third-party rights.
2. UPDATES AND SUPPORT
2.1 Licensor may provide updates, patches, or bug fixes (“Updates”). Updates are subject to this Agreement.
2.2 Licensor is not obligated to provide support for the Software.
3. THIRD-PARTY SOFTWARE AND INTEGRATIONS
The Software may interact with Autodesk or other third-party software (“Third-Party Software”). Licensor does not control, maintain, or warrant Third-Party Software. Your use of Third-Party Software is governed by its own license. Licensor is not responsible for your interaction with Third-Party Software or hardware (“Third-Party Equipment”).
4. DATA AND PRIVACY
Licensor may collect technical data and usage information to improve the Software, provide updates, and offer related services, in accordance with our Privacy Policy: https://www.c8-data.com/c8-privacy-policy
5. WARRANTY
5.1 The Software is provided “as is” without warranty of any kind.
5.2 Licensor warrants that the Software is free of viruses or malware at the time of download.
5.3 No warranty is provided for unauthorized modifications, improper use, or incompatibility with other software or hardware.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Licensor is not liable for indirect, incidental, or consequential damages. Licensor’s total liability for any claim arising from the Software is limited to the purchase price paid for the Software.
7. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Licensor from any claims, damages, or expenses arising from your misuse of the Software or violation of this Agreement.
8. INTELLECTUAL PROPERTY
Licensor retains all rights, title, and interest in the Software, including all intellectual property rights. You may not claim ownership or create derivative works except as expressly authorized.
9. EXPORT COMPLIANCE
You shall comply with all applicable U.S. export laws, regulations, and restrictions. The Software may not be exported, re-exported, or transferred to any prohibited country, entity, or individual without proper authorization.
10. TERMINATION
This license is effective until terminated. Licensor may terminate this Agreement if you fail to comply with its terms. Upon termination, you must cease all use of the Software and destroy all copies.
11. GOVERNING LAW
This Agreement is governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
12. ARBITRATION AND DISPUTE RESOLUTION
12.1 Mandatory Arbitration: Any dispute arising from this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Maricopa County, Arizona, unless the parties agree otherwise.
12.2 Individual Claims Only: All claims must be brought individually, not as a class or consolidated action.
12.3 Confidentiality: Arbitration proceedings and outcomes are confidential.
12.4 Exceptions: Claims for defamation, intellectual property infringement, or emergency equitable relief may be brought in court.
